1. Acceptance of Terms

By accessing or using the Logicle LLC website, services, and AI-powered tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms apply to all visitors and clients of Logicle LLC.

2. Description of Services

Logicle LLC provides AI-powered websites, Google Business Profile optimization, review management, local SEO, and an optional AI voice receptionist for local service businesses. Services are offered on a month-to-month subscription basis with no long-term contracts unless otherwise stated in writing.

3. User Responsibilities

You are responsible for the accuracy of the information you provide to Logicle, including business name, contact details, and service area. You agree to use the Services in compliance with all applicable laws and regulations and not to use the Services for any unlawful or fraudulent purpose.

4. Website Use

You may use our website for lawful purposes only. You agree not to misuse the site, interfere with its security, or attempt to gain unauthorized access to any portion of the site, server, or network. We reserve the right to modify or discontinue any feature of the website at any time without notice.

5. SMS/Text Messaging Terms

By separately checking the SMS consent checkbox or otherwise providing the required affirmative consent, you agree to receive text messages from Logicle at the mobile number you provided. Providing your phone number alone, calling Logicle, or otherwise contacting Logicle does not automatically constitute consent to receive marketing SMS; SMS consent requires a separate affirmative action where applicable.

Depending on the consent you provided, messages may include responses to inquiries, appointment confirmations and reminders, estimates, service updates, customer support communications, and other transactional or promotional communications associated with Logicle.

6. SMS Consent

SMS consent is captured through a separate, optional checkbox that is unchecked by default and requires an affirmative action by you. SMS consent is separate from acceptance of these Terms and separate from acceptance of our Privacy Policy. Providing SMS consent is not required to submit a form or request our primary Services.

7. Message Frequency

Message frequency varies. The number of messages you receive depends on your interactions with our Services and the type of messaging program to which you have subscribed.

8. Message and Data Rates

Message and data rates may apply. Standard rates from your wireless carrier may apply to messages you send or receive.

9. STOP Instructions

Reply STOP to opt out. You may opt out of SMS messages at any time by replying STOP. After you send STOP, you will receive confirmation that you have been unsubscribed, and no further messages will be sent from that messaging program unless you separately opt in again. Where supported by our messaging provider, the following keywords may also be recognized for opting out: STOP, UNSUBSCRIBE, CANCEL, END, QUIT. Keyword availability and behavior depend on the SMS platform and carrier.

10. HELP Instructions

11. Consent Is Not a Condition of Purchase

Consent is not a condition of purchasing goods or services or receiving assistance from Logicle. You may request or receive our Services without providing SMS consent.

12. Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

13. No Sharing or Sale of Mobile Information to Third Parties

We will not share your mobile information or SMS consent with any third parties or affiliates for marketing or promotional purposes. Your mobile phone number, SMS opt-in data, and text messaging consent will not be shared with or sold to third parties or affiliates for marketing purposes under any circumstances.

Our Services may integrate with or rely on third-party platforms, carriers, and messaging partners solely to deliver and operate the Services on our behalf. These providers are bound by confidentiality obligations and are not authorized to use your mobile information or SMS consent for their own independent marketing purposes. Logicle is not responsible for the conduct, performance, or policies of these third parties, and your use of any third-party service is subject to that party's terms.

14. Intellectual Property

All content, branding, software, and materials provided by Logicle are the intellectual property of Logicle LLC and are protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our materials without prior written consent.

15. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Logicle disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee specific search rankings, lead volumes, or business results.

16. Limitation of Liability

Logicle LLC is not liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our total liability for any claim is limited to the amount you have paid for Services in the three (3) months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless Logicle LLC and its service providers from any claims, damages, or expenses arising from your misuse of the Services, your violation of these Terms, or your infringement of any third-party rights.

18. Changes to Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our Services after changes constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Ohio.
